Terms of Service

1. Acceptance of Terms

By accessing or using the ein.now website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

2. Description of Service

ein.now provides an EIN (Employer Identification Number) application assistance service for non-US residents who own or are forming a US Limited Liability Company (LLC). Our Service includes:

  • Collection of required information for EIN application
  • Preparation and submission of Form SS-4 to the IRS on your behalf
  • Delivery of your assigned EIN via email

We act as a third-party service provider and are not affiliated with, endorsed by, or connected to the Internal Revenue Service (IRS) or any government agency.

3. Eligibility

To use our Service, you must:

  • Be at least 18 years of age
  • Be a non-US resident (not a US citizen or permanent resident)
  • Have a valid, properly formed US LLC
  • Provide accurate and complete information
  • Have the legal authority to act on behalf of the LLC

4. Service Tiers and Pricing

We offer two service tiers:

  • Standard Service ($99): EIN delivery within 2 business days
  • Express Service ($149): EIN delivery within 1 business day

Delivery times are estimates and begin after successful payment and verification of your application information. Actual processing times may vary due to IRS processing delays or other factors beyond our control.

5. Payment Terms

Payment is required at the time of application submission. We accept major credit cards and cryptocurrency payments through our secure payment processor, Stripe.

All fees are in US Dollars (USD) and are non-refundable except as expressly stated in our Refund Policy (Section 6).

6. Refund Policy

We offer refunds in the following circumstances:

  • Full Refund: If we are unable to obtain an EIN for you due to reasons within our control, you will receive a full refund.
  • No Refund: If your application is rejected by the IRS due to inaccurate or incomplete information provided by you, or if your LLC is not properly formed.
  • No Refund: After your EIN has been successfully obtained and delivered to you.

To request a refund, please contact us at support@ein.now within 30 days of your payment.

7. User Responsibilities

By using our Service, you agree to:

  • Provide accurate, current, and complete information in your application
  • Ensure your LLC is properly formed and in good standing before applying
  • Respond promptly to any requests for additional information
  • Use the Service only for lawful purposes
  • Not use the Service to engage in fraud, money laundering, or any illegal activity
  • Not attempt to interfere with or disrupt the Service

8. Accuracy of Information

You are solely responsible for the accuracy of the information you provide. Providing false, misleading, or fraudulent information may result in:

  • Rejection of your EIN application by the IRS
  • Termination of our services without refund
  • Potential legal consequences

We are not responsible for any delays, rejections, or issues arising from inaccurate information provided by you.

9. Intellectual Property

All content, features, and functionality of our Service, including but not limited to text, graphics, logos, and software, are owned by ein.now or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on our Service without our express written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • The Service will be uninterrupted, secure, or error-free
  • The IRS will approve your EIN application
  • Delivery times will be met in all circumstances

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EIN.NOW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless ein.now and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any false or misleading information you provide

13. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ein.now regarding the Service and supersede all prior agreements, understandings, and communications.
